Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Pinnit, including our website, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. Description of the Service

Pinnit is a platform that allows users to save, organize, discover, and share real-world locations, including by importing, referencing, or associating information from third-party platforms and services. We may add, modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. Account Registration and Security

  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • You must provide accurate information and keep it up to date.
  • You may not share your account in a way that circumvents plan limits, account restrictions, or security controls.
  • You must notify us promptly if you believe your account has been compromised or used without authorization.
  • We may reclaim usernames, require account verification, or suspend accounts to protect the Service or other users.

5. User Content

"User Content" means any content you submit, upload, create, store, import, post, transmit, or otherwise make available through the Service, including maps, locations, notes, comments, images, links, and metadata.

  • You retain ownership of your User Content, subject to the rights you grant in these Terms.
  • You grant Pinnit a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content solely as necessary to operate, provide, improve, promote, and protect the Service.
  • You represent and warrant that you own or have all rights necessary to submit your User Content and to grant the rights described in these Terms.
  • You are solely responsible for your User Content and the consequences of posting or importing it.

6. Third-Party Content, Services, and Imports

  • The Service may allow you to import, reference, link to, or otherwise interact with content from third-party platforms, websites, and services.
  • You are solely responsible for ensuring that your use of third-party content complies with applicable law and the terms, licenses, and policies of the applicable third party.
  • Pinnit does not own, endorse, verify, or control third-party content or third-party services.
  • Third-party content may be removed, changed, blocked, or become unavailable at any time, and Pinnit is not responsible for any such unavailability or changes.
  • We may store limited copies, excerpts, thumbnails, links, metadata, machine-generated labels, or other information associated with imported or referenced content as part of operating the Service.

7. Prohibited Conduct

You may not, and may not assist or encourage others to:

  • Use the Service for any unlawful, fraudulent, deceptive, abusive, or harmful purpose.
  • Post, upload, import, or share content that infringes or misappropriates any intellectual property, privacy, publicity, or other rights.
  • Harass, threaten, impersonate, defame, stalk, or harm another person or entity.
  • Post or transmit malware, malicious code, or content intended to disrupt or compromise the Service.
  • Access or use the Service through bots, scripts, scrapers, crawlers, automation, or other means except as expressly authorized by us in writing.
  • Circumvent usage limits, pricing rules, account restrictions, moderation systems, security measures, or technical protections.
  • Create multiple accounts or coordinate account activity for the purpose of evading plan limits, import limits, enforcement actions, or other restrictions.
  • Reverse engineer, decompile, disassemble, copy, frame, mirror, or otherwise attempt to derive source code, underlying ideas, or trade secrets from the Service, except where prohibited by law.
  • Use the Service to build a competing product or service, benchmark the Service without our prior written consent, or extract data from the Service at scale.
  • Interfere with the operation, integrity, or security of the Service.

8. Moderation and Enforcement

We may, but are not obligated to, monitor, review, screen, remove, restrict, or disable access to any content or account at any time and for any reason, including suspected violations of these Terms, legal requirements, or conduct that we determine may create risk, liability, or harm to users, third parties, or the Service. We may cooperate with law enforcement or third parties in connection with investigations of alleged wrongdoing.

9. Intellectual Property Rights

  • The Service, including its software, design, text, graphics, logos, trademarks, and other content provided by Pinnit, is owned by or licensed to Pinnit and is protected by applicable intellectual property laws.
  • Except for the limited rights expressly granted in these Terms, no rights are granted to you.
  • You may not use Pinnit's name, logos, trademarks, or branding without prior written permission.

10. Copyright Complaints

If you believe content on the Service infringes your copyright or other intellectual property rights, you may contact us at contact@pinnit.io. We may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.

11. Paid Features, Subscriptions, and Billing

Certain features of the Service may be offered on a paid basis, including subscriptions, usage-based limits, or premium features.

  • Prices, features, and limits may change at any time to the maximum extent permitted by applicable law.
  • If you purchase a subscription, you authorize the applicable payment provider or app marketplace to charge you according to the pricing and billing terms presented at the time of purchase.
  • Subscriptions may automatically renew unless canceled in accordance with the applicable marketplace or billing provider's rules.
  • Except as required by law or expressly stated otherwise, all fees are non-refundable.
  • We may suspend or downgrade access for failed payments, chargebacks, suspected fraud, abuse, or violations of these Terms.

12. Feedback

If you submit ideas, suggestions, feedback, or proposals regarding the Service, you agree that we may use them without restriction or compensation to you, and you hereby grant us a worldwide, perpetual, irrevocable, royalty-free license to use and exploit them for any purpose.

13. Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

14. Service Availability and Changes

We do not guarantee that the Service or any part of it will be available at all times, error-free, secure, or uninterrupted. We may change, suspend, or discontinue any feature, content, integration, or functionality at any time, with or without notice.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, PINNIT DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

PINNIT DOES NOT WARRANT OR GUARANTEE THE ACCURACY, COMPLETENESS, LEGALITY, QUALITY, SAFETY, AVAILABILITY, OR RELIABILITY OF ANY LOCATION, BUSINESS, MAP, IMPORTED CONTENT, USER CONTENT, THIRD-PARTY CONTENT, OR THIRD-PARTY SERVICE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ANY INFORMATION BEFORE RELYING ON IT OR VISITING ANY LOCATION.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINNIT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PINNIT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PINNIT FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

17. Indemnification

You agree to defend, indemnify, and hold harmless Pinnit and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees, including reasonable attorneys' fees, arising out of or relating to your User Content, your use of the Service, your violation of these Terms, your violation of any applicable law or regulation, or your violation of the rights of any third party.

18. Dispute Resolution and Arbitration

You and Pinnit agree to resolve any disputes arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.

  • Arbitration will be conducted by a nationally recognized arbitration provider under its then-current rules, in the English language, and in the state of Texas or remotely as agreed by the parties.
  • You and Pinnit each waive the right to a jury trial and the right to participate in a class action, collective action, private attorney general action, or other representative proceeding.
  • The arbitrator may award the same damages and relief that a court could, but only on an individual basis.
  • If any part of this arbitration provision is found to be unenforceable, the remaining parts will still apply.

19. Governing Law

These Terms and any dispute arising out of or related to the Service will be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

20. Termination

You may stop using the Service or delete your account at any time.

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violations of these Terms or conduct that we determine may create risk or liability for Pinnit, other users, or third parties.

Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive termination will survive, including but not limited to Sections 5 (User Content), 12 (Feedback), 15 (Disclaimers), 16 (Limitation of Liability), 17 (Indemnification), 18 (Dispute Resolution and Arbitration), and 19 (Governing Law).

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Effective Date" above. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

22. General Provisions

  • These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pinnit regarding the Service and supersede all prior agreements.
  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • No agency, partnership, joint venture, or employment relationship is created by these Terms.
